PROFESSIONAL HISTORY, ACCOMPLISHMENTS AND CREDENTIALS

After building a significant corporate legal practice, Mr. Dodge was recruited in 1982 to establish and manage the legal department of the primary operating subsidiary of Financial Corporation of America, an NYSE-listed financial services holding company. Shortly thereafter, he became Senior Vice President and General Counsel of FCA, where he was responsible for negotiating, documenting and closing a number of major corporate projects, including the merger between FCA and First Charter Financial Corporation. At the time, this was the highest value transaction ever consummated between two US financial institutions.

The senior management team of FCA established in 1984 a private merchant bank, Trafalgar Holdings, Ltd. to pursue international finance and acquisition opportunities. Mr. Dodge was a co-founder of this enterprise, serving as General Counsel and Chief Operating Officer. There he was responsible for closing a number of major finance transactions in collaboration with leading investment bankers, and served as director of the firm’s NASD-member broker-dealer unit. Subsequently Mr. Dodge represented corporate clients in the financial services industry in connection with international and domestic projects. During this period he was a key member of the team that successfully reorganized the capital structure of the Donatello Hotel in San Francisco and the Monterey Plaza Hotel, in Monterey.

In 1989 Mr. Dodge was engaged by Western International Media Corp. (now Initiative Media Worldwide) the largest full-service media management and marketing company in the US, with 25 offices in North America and annual billings then of over $800 million, to assist in consummating two major acquisitions. This led to an offer, which he accepted, to become Executive Vice President, General Counsel and de facto COO of the firm. In this capacity Mr. Dodge orchestrated an overhaul of the corporate infrastructure, including reorganization of all corporate entities, creation of an intellectual property protection program, the establishment of employee benefits programs and implementation of an aggressive credit underwriting and delinquent account collection procedures. These efforts led directly to the company’s sale to the Interpublic Group, by which time gross annual billings had risen to over $2 billion. During his tenure with WIMC, Mr. Dodge also served as the CEO of Western Interactive Media, a division offering proprietary, leading-edge telephone call routing and tracking services based on state-of-the-art telecommunications and database technologies to middle market and Fortune 500 companies.

In 1999 Mr. Dodge was recruited by Easyriders, Inc., an AMEX-listed concern, to join its senior management team, where he served as Executive Vice President, General Counsel, Secretary, Compliance Officer and Director of Licensing. This Los Angeles-based enterprise, which has national and international operations in publishing, retail product distribution, brand licensing, television and events production, was reorganized through a Chapter 11 bankruptcy proceeding as Paisano Publications, LLC, a private company where Mr. Dodge presently serves in similar capacities. At Paisano, Mr. Dodge oversees the company’s domestic and international trademark portfolio; negotiates and documents all material agreements concerning licensing, content usage, vendor relations, employment of key personnel, independent contractors, freelance contributors; counsels editorial and management staff on best practices and risk avoidance; serves as confidante to owner on all sensitive company matters, oversees HR and risk management; and manages/documents all major transactions, including long-term outsource/license agreements, and the purchase and sale of assets.

Concurrently, Mr. Dodge has remained active in representing private business clients and non-profit organizations, providing them with general legal representation, capital formation, strategic planning, operational, risk-management, general advisory and “virtual general counsel” services. In this capacity, he has advised and represented many early-stage and established ventures in the technology, industrial and media sectors, as well as major 501(c)(3) organizations in the animal welfare sector. With his wife, Karn Myers, Mr. Dodge co-founded and co-directs Best Friends Catnippers, an all-volunteer program which funds and operates clinics to sterilize feral cats and helps implement the humane practice of controlling homeless cat population growth known as Trap-Neuter-Return. In 9 years the program has sterilized some 13,500 homeless cats and grown to become the premier organization of its kind in the Los Angles area, second only to the separate non-profit company founded in 2007 by Mr. Dodge and his wife, FixNation, Inc, now operating a full-time spay-neuter clinic for caregivers of homeless cats near the Burbank airport. www.fixnation.org. Mr. Dodge is a frequent public speaker on the subject of spay-neuter, volunteer and TNR programs, and public policy in the TNR area.

Mr. Dodge is a graduate of the University of California, Los Angeles (BA) and California Western School of Law (JD), where he was an honor student and a member of Law Review. He is also a member of the Business Section of the California State Bar and ABA and since 2005 has also been admitted to practice in the state of Washington. Prior to attending law school, Mr. Dodge was a non-commissioned officer in the U.S. Army, serving with valor in the Republic of Vietnam.
